These terms and conditions apply to all services, software products, licenses, and agreements provided by:

2. Applicability & Scope
2.1. These Terms and Conditions govern every contract entered into between Refactored and the client, licensee, or user (hereinafter: the "Customer"), encompassing both commercial transactions (B2B) and consumer purchases (B2C).
2.2. The products and services developed and operated by Refactored include, but are not limited to:
- Operating and licensing proprietary software and micro-SaaS platforms (such as ScanForService for QR asset management and PingMyCar for anonymous vehicle incident alerts).
- Supply of physical QR media and accessories (such as weather-resistant industrial QR stickers, vehicle window cards, and badges).
- Custom software engineering, cloud architecture, IoT hardware integrations, and consulting services.
2.3. Any deviations from these Terms are valid only if explicitly agreed in writing by Refactored. Any general terms or conditions put forward by the Customer are explicitly rejected.
3. Pricing & Payments
3.1. All prices are listed in Euros (€ / EUR). For consumers (B2C), prices include statutory VAT; for business clients (B2B), prices are exclusive of VAT unless explicitly stated otherwise.
3.2. Online transactions, credit purchases, and recurring license fees are processed securely through our certified payment provider Stripe Payments Europe, Ltd. We support standard payment methods including Bancontact, iDEAL, Visa, Mastercard, and Apple Pay.
3.3. When invoiced separately, payment is due within 14 calendar days from the invoice date. In case of overdue payment, Refactored reserves the right to temporarily suspend access to software licenses or platforms.
4. Software Licenses, Duration & Termination
4.1. Software licenses and recurring platform access are agreed upon for a designated term (typically monthly or annually) and renew automatically for consecutive terms unless terminated prior to renewal.
4.2. The Customer may terminate a recurring license at any time prior to the next billing cycle directly through the account management dashboard or by sending an email to johnnie@refactored.be.
4.3. Upon cancellation, software access remains fully active until the conclusion of the prepaid billing period. No prorated refunds are issued for unused portions of an ongoing billing cycle, without prejudice to statutory consumer rights (see our Refund Policy).
5. Delivery of Digital Services & Physical QR Products
5.1. Digital licenses: Access to cloud platforms, API credentials, and administrative dashboards is provisioned immediately upon successful completion of payment.
5.2. Physical QR media: Tangible QR products (stickers, NFC/QR badges, window cards) are dispatched to the shipping address specified by the Customer via postal or courier carriers. Estimated delivery times are typically 3 to 7 business days within the European Union.
5.3. The Customer is responsible for ensuring the accuracy of shipping details and any custom design assets supplied for printing.
6. Intellectual Property Rights
6.1. All intellectual property rights pertaining to the software platforms, source code, QR routing algorithms, database schemas, brand identities, designs, and technical documentation remain the exclusive property of Refactored or its licensors.
6.2. The Customer receives a limited, non-exclusive, non-transferable, and revocable license to utilize the software in accordance with its intended commercial purpose for the duration of the active agreement.
7. Availability & Limitation of Liability
7.1. Refactored exercises reasonable professional care to provide high availability (targeting 99.9% uptime) on serverless and edge infrastructure. This commitment constitutes an obligation of means (inspanningsverbintenis), not of result.
7.2. Refactored cannot be held liable for service interruptions, latency, or damages resulting from events beyond its reasonable control (force majeure), third-party provider outages (such as Cloudflare, Supabase, or Stripe), or telecommunication failures.
7.3. To the maximum extent permitted by applicable law, Refactored's total aggregate liability for direct damages shall not exceed the amounts paid by the Customer to Refactored during the three (3) months preceding the incident. Indirect, consequential, or punitive damages are explicitly excluded.
8. Applicable Law & Jurisdiction
8.1. All legal relations between Refactored and the Customer shall be governed exclusively by the laws of Belgium, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
8.2. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the judicial district of Limburg, Belgium. Consumers residing in the EU also have access to the European Commission's Online Dispute Resolution (ODR) platform.
